1. Acceptance of Terms
These Terms apply together with any written proposal, statement of work, or invoice we send you. If a specific clause in a signed proposal conflicts with these Terms, the signed proposal wins for that engagement only.
2. Services
LandioGraph provides conversion-focused landing pages, web systems, lead capture, analytics, design, and related advisory services. The exact scope, deliverables, and timeline for each engagement are defined in a written proposal after the initial business scan.
3. Quotes and scope
Quotes are valid for 30 days from the date issued. Scope is locked when you sign the proposal and pay the deposit. Work outside the agreed scope is billed separately at our then-current rate.
4. Payment
Payment milestones are defined in each proposal. Unless the proposal says otherwise:
- A deposit of 50% is due before production begins.
- The remaining 50% is due before the final handover or launch.
- Care plan subscriptions are billed monthly in advance.
- Late payment beyond 14 days may pause active work until the invoice is settled.
- Payments are non-refundable except where required by Thai consumer protection law.
5. Client responsibilities
To deliver on schedule, you agree to:
- Provide accurate business context, brand assets, copy inputs, and access to required accounts in a timely manner.
- Respond to review requests within the timeline stated in the proposal (default: 5 business days).
- Ensure you have the rights to any text, images, logos, or data you provide to us.
- Inform us promptly of changes that affect scope, brand direction, or stakeholder approvals.
6. Intellectual property
On full payment, the final website assets we produce for you become your property, except for:
- Third-party libraries, fonts, and stock assets, which remain under their original licenses.
- Our internal tools, templates, frameworks, and know-how, which remain ours and are licensed to you only as part of the delivered site.
- Unpaid deliverables, which remain ours until invoices are settled in full.
7. Revisions and acceptance
Each proposal defines the number of revision rounds included. Additional rounds are billed at our hourly rate. A deliverable is deemed accepted when you approve it in writing or when 10 business days pass without objection after delivery.
8. Cancellation and refunds
Either party may cancel an engagement with 14 days written notice. Deposits cover discovery, scan, and scheduling work and are non-refundable. Work completed up to the cancellation date is billable. Care plans can be cancelled at the end of the current billing cycle.
9. Warranty and support
We warrant that delivered services conform to the proposal for 14 days after launch. Defects reported in writing within that window will be fixed at no charge. The warranty does not cover issues caused by third-party changes, content edits made after launch, or environments outside our control. Ongoing support is provided through a separate Care Plan.
10. Limitation of liability
To the maximum extent permitted by law, LandioGraph is not liable for indirect, incidental, special, or consequential damages (including lost revenue, lost profit, or lost data) arising from any engagement. Total liability under any engagement is capped at the fees actually paid by you for that engagement in the 6 months preceding the claim.
11. Confidentiality
Both parties agree to keep confidential any non-public information shared during the engagement, including business data, pricing, and unreleased plans. This obligation survives the end of the engagement for 2 years.
12. Governing law
These Terms are governed by the laws of Thailand. Any dispute that cannot be resolved amicably will be submitted to the exclusive jurisdiction of the competent courts of Thailand.
13. Changes to Terms
We may update these Terms from time to time. The "last updated" date above reflects the latest revision. Engagements signed before a change remain governed by the Terms in force at the time of signing.
